JOB DESCRIPTIONKEY PURPOSE OF THE ROLE1. The purpose of the role is a resource responsible to manage corporate governance function in Asia-Pac Middle East, Africa and Turkey (AMEA) region; and act as corporate governance representative with the internal and external stakeholders and suppliers.2. To take responsibility of ensuring compliance with the local corporate secretarial and related requirements applicable to company entities in AMEA region.3. To assist and support Head of Corporate Governance, AMEA or equivalent in delivery of the strategic goals and fulfil objectives as may be relevant for company Legal Governance and Compliance Team.KEY RESPONSIBILITIES OF THE ROLE1. To act as a lead Contact for all Corporate Governance matters affecting the companygroup of companies in the AMEA region and to provide assistance and support on all other corporate governance and compliance matters that arise and affect the company group of companies in the AMEA region on a day-to-day basis. This will include(a) the creating, owning and managing a Corporate Governance Plan for one of more sub-region;(b) setting up and managing a Governance Group for one or more regions to overview the governance and compliance in the sub-region;(c) acting as a company secretary or other such positions as may be relevant to the role, where appropriate and possible, to the entities across the AMEA region;(d) Dealing with company secretarial work of company entities across the region (directors appointments, board meetings, board meeting minutes, resolutions, shareholder resolutions etc.);(e) Assisting with entity rationalization in the region which streamline the structure of the entities in region;(f) ensuring the financials of the entities are adopted by the directors and shareholders in the specified time line;(g) convening and conducting board meetings and general meetings of company entities in Asia-Pac;(h) arranging the registrations and renewals of the requisite certificates and / or business licenses required for the functioning of the entities or enhancement of the scope of business and trading capabilities of the entities;(i) managing timely annual filling of entities in AMEA and other requisite fillings and manage day-to-day functioning of entities in-house;(j) and such other matters that are relevant to the corporate governance and compliance work in the region.2. In addition, the role requires you to be a corporate adviser to the business and entity Directors who are responsible for the governance of the companies which make up the company Group. Amongst other matters, the role holder will provide advice to the Directors on (i) their duties and responsibilities as Directors of a company Group Company; (ii) company Group Governance & Compliance matters; (iii) Corporate Governance generally; (iv) Legal Risk Management; (v) Relationships with Corporate Governance Stakeholders3. In addition, the role holder will provide corporate governance assistance on complex corporate transactions including mergers, acquisitions and disposals, and corporate structure transactions. The role holder will also work with and co-ordinate external company secretarial or corporate governance advice from company approved panel of external providers in providing the business with expert advice on complex issues that may arise from time to time which affect the company group of companies in AMEA region4. To proactively assist on the streamlining of the delivery of company secretarial service function in AMEA and functioning of service providers to ensure efficient and cost effective service in compliance with company policies.5. To assist in the preparation and updation of the company Group Structure chart and updation of Blueprint with regard to statutory information and documents relating to all the entities so as to facilitate dissemination of proper information to people of other LOBs6. To provide assistance and support to the Line Manager and other members of the team in region on such matters that may arise and affect the BT group of companies in the AMEA region as a part of future business goals and objectives. This will include working on transformational projects as project lead or team member, both global and regional.7. To work in accordance with the Corporate Governance practises and such other instructions as provided from time to time, as well as ensuring you keep your line manager updated on all matters you are working on and any issues that are raised with you by the business.8. To work on improving professional standards and develop a high performance culture within the AMEA Legal, Governance & Compliance team.9. To apply best practice in corporate governance area of responsibility and act as an ambassador for Legal, Governance & Compliance team AMEA team and the wider LGC team.10. To work with the LGC team in the AMEA region in ensuring a best in class legal service being provided to the business and to support LGC team in AMEA by providing flexibility in different areas of legal, governance and compliance work from time to time as needed.11. To contribute to the Global Corporate Governance Management Group and its wider teams in ensuring that corporate governance matters within company globally are properly reported, dealt with and coordinated in a consistent manner.
